ISDA, Loan agreements and other legal issues

Introduction

The Workshop “ISDA and Finance Law” is focused on professionals working in corporates and organizations, who need some knowledge about the legal aspects of treasury and finance or are involved in negotiations with banks or other financial institutions. The workshop may be interesting for all levels in financial management, from the cash manager who negotiates the conditions of a cash pool to the chief financial officer who is interested in the legal risks of an arrangement with investors. The workshop is organized in a 2 day program including evening program on the first day (until 19.30, dinner is optional). 

Contents

Many topics will be discussed in the workshop, including an introduction to English law. However three major topics will be discussed in more detail. 

  • First, as main topic the legal aspects of financial derivatives, including attention to the market standard ISDA terms.
  • The second topic concerns corporate finance: the loan agreement, the negotiating process and the special aspects in case of mergers, acquisitions and demergers will be discussed in detail.
  • The last topic is cash management and especially the problematic around cash pooling.

Of course, the workshop is given in a flexible way and every delegate is free to inform the course management beforehand about their specific areas of interest.

Entry requirements

Prior knowledge of law is no requirement, but delegates are assumed to have some knowledge and expertise in finance. 

Lecturers

The workshop is given in cooperation with LONDON based law firm SLAUGHTER AND MAY. The leading lecturer of the workshop is Marc Hutchinson, a partner of the firm.

Practical information

The course dates for 2011 are as follows:

Tuesday 1 + Wednesday 2 November

Course venue: The Horst Estate in Driebergen, the Netherlands. This location is only one hour from Amsterdam Airport (Schiphol) or Rotterdam Airport by train or car. For international participants, travel arrangements can be organized. The total course fee including all documentation, luncheons and refreshments during the course is € 1,650 (excl VAT). For the optional dinner on Monday evening, an additional € 50 is charged. If desired, RISKMATRIX can book a hotel arrangement at or near the training venue. Depending on the location, the price for a single room is approximately € 130 – € 160 (excl VAT) per night including dinner and breakfast. Other room rates can be quoted on request.
